Terms of Service

Welcome to PROMOTE™. By accessing or using the PROMOTE™ mobile application (the "App"), you agree to these Terms of Service.

If you do not agree to these Terms, do not use the App.

PROMOTE™ is operated by Promote Platform Group LLC.

1. Use of the App

The App provides a platform for users to discover, browse, and engage with events and services. You agree to use the App only for lawful purposes and in accordance with these Terms.

You must not:

Use the App for any unlawful, misleading, fraudulent, or harmful purpose
Attempt to gain unauthorized access to any part of the App, its systems, or related accounts
Interfere with or disrupt the operation, security, or performance of the App
Use the App in a way that could damage, disable, overburden, or impair our services
Upload or distribute malicious code, spam, or abusive content

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you meet this requirement and that you are legally able to accept these Terms.

3. User Accounts

Some features require an account.

You agree:

To provide accurate and current information
To keep your login credentials secure
To be responsible for activity that occurs under your account

We may suspend, restrict, or terminate accounts that violate these Terms or create risk to the platform or other users.

4. Account Suspension and Deletion

Users may request deletion of their accounts through supported App functionality, or by email as described in our Privacy Policy. We do not currently offer account deactivation as a separate option; requesting deletion is the supported way to close an account.

You acknowledge and agree that:

Account deletion may affect access to events, services, organizer tools, invites, messages, social features, subscriptions, purchases, saved content, attendance-related activity, or other platform functionality
Certain content, records, or technical information may remain temporarily or permanently where reasonably necessary for legal compliance, fraud prevention, abuse prevention, dispute handling, platform integrity, moderation, diagnostics, enforcement, or security purposes
Cached, archived, logged, mirrored, backed-up, indexed, or previously distributed information may not be removed immediately

If you delete your account:

Some events or services you created may be unpublished, removed, hidden, restricted, canceled, or otherwise affected
Other users may retain limited historical interactions, references, messages, attendance-related records, moderation records, or transactional records associated with prior activity

We reserve the right to suspend, restrict, disable, limit, or terminate accounts, listings, content, subscriptions, trials, or platform access at our discretion where necessary to:

Protect the platform
Enforce these Terms
Prevent abuse or fraud
Respond to legal requests
Maintain platform integrity or user safety

5. User Content

The App may allow users to create, upload, publish, or share content, including:

Event listings
Service listings
Profile information
Photos or other media
Messages, interactions, invitations, or related activity

You are solely responsible for the content you submit and for the consequences of posting it.

You agree not to post content that:

Is false, misleading, or deceptive
Violates any law or regulation
Infringes on another person's rights
Is abusive, threatening, defamatory, obscene, or otherwise harmful
Contains malware, spam, or unauthorized commercial solicitation

We reserve the right, but not the obligation, to review, remove, restrict, or refuse content at our discretion.

6. Events and Services Disclaimer

The App is a platform only.

We do not organize, host, manage, control, endorse, or guarantee third-party events or services listed in the App.

Event organizers, service providers, and other users are solely responsible for:

Their listings
Their conduct
The accuracy of information they provide
Delivering any event or service they list, publish, advertise, or offer through the App

You acknowledge and agree:

You attend events at your own risk
You engage providers and services at your own discretion
We are not responsible for cancellations, delays, injuries, losses, disputes, damages, or misrepresentations related to third-party events or services

7. Social Features

The App may provide social features such as:

Following users
Viewing limited activity based on privacy settings
Attendance visibility controls
Invites, notifications, messages, or related interactions where available

These features are provided for convenience only. You are responsible for your interactions with other users.

We are not responsible for user conduct, offline interactions, or disputes between users.

8. Location Features

The App may use location information to show nearby events and services.

Location-related features may depend on your settings. If enabled, the App may use precise location. If disabled, the App may rely on a city-based fallback, default location, cached location behavior, or other supported location settings.

Location features are provided to improve relevance, but we do not guarantee the accuracy, completeness, or availability of location-based results.

9. Paid Features and Plan Eligibility

Some features, controls, or tools in the App may only be available to users on eligible paid plans or subscription tiers, such as Elite or Premium where offered.

Feature availability may vary by account type, platform, App version, or rollout status. We may modify, limit, or discontinue features, plan benefits, or eligibility requirements at any time.

If paid plans or subscriptions are offered through a third-party platform, such as an app store, billing, renewals, cancellations, refunds, and related purchase terms may also be governed by that platform's rules and terms.

We may offer free trials, promotional access, paid subscriptions, or tier-based features. Trial eligibility may be limited and may not be available to all users or accounts.

If a trial, subscription, payment, refund, cancellation, expiration, reversal, or failed renewal affects your account, we may modify, limit, downgrade, hide, unpublish, restrict, or disable features or content tied to that plan.

You are responsible for managing subscriptions through the applicable platform, app store, or payment provider where required.

10. Tickets, Payments, and Transactions

The App may later support ticketing, reservations, purchases, subscriptions, or other paid transactions.

Unless otherwise stated, we are not responsible for event admission, event fulfillment, service fulfillment, refunds, chargebacks, cancellations, or disputes between users, organizers, service providers, attendees, or third-party payment processors.

Payment processing, billing information, renewals, refunds, and chargebacks may be handled by third-party platforms, app stores, or payment providers under their own terms and policies.

11. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your information.

12. Intellectual Property

PROMOTE™ and its related branding, design, software, text, graphics, and other content provided by us are owned by or licensed to Promote Platform Group LLC and are protected by applicable laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, reverse engineer, or exploit any part of the App or its content.

13. Termination

We may suspend, limit, or terminate your access to the App at any time, with or without notice, if:

You violate these Terms
We believe your use creates risk, harm, or legal exposure
We are required to do so by law
We discontinue part or all of the App

You may stop using the App at any time.

14. Disclaimers

The App is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including:

Merchantability
Fitness for a particular purpose
Non-infringement
Availability, reliability, or accuracy

We do not guarantee that the App will always be available, secure, error-free, or free from interruptions.

15. Limitation of Liability

To the fullest extent permitted by law, Promote Platform Group LLC and its owners, operators, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to:

Your use of or inability to use the App
Third-party events, services, or user conduct
Unauthorized access to or alteration of your data
Errors, outages, or service interruptions

If liability is imposed despite the above, Promote Platform Group LLC's total liability will be limited to the maximum extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Promote Platform Group LLC and its owners, operators, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses arising from:

Your use of the App
Your content
Your violation of these Terms
Your violation of any rights of another person or entity

17. Changes to These Terms

We may update these Terms from time to time. When we do, we may revise the Effective Date above.

Your continued use of the App after changes become effective means you accept the revised Terms.

18. Governing Law

These Terms will be governed by and interpreted under the laws of Mississippi, without regard to conflict of law principles.
